General Terms and Conditions (GTC)

The contractual language is German. This translation is for information purposes only; in case of discrepancies, the German version shall prevail.
1. Provider, Scope, Contractual Language
1.1 The provider of the platform is Idea2Creat GmbH, Karrenwaldstrasse 8, Switzerland, Email: Info@idea2create.ch

1.2 These GTC govern the use of the platform "Idea2Create" and any associated services (e.g., landing/entry tools, newsletter, API).
1.3 Deviating terms of users shall only apply if the provider expressly agrees to them in writing.
1.4 The contractual language is German. If translations are provided, the German version shall prevail, unless mandatory law requires otherwise.
2. Definitions and Roles
2.1 "Users" are all registered persons/organizations that use the platform.
2.2 "Idea Creators" are users who post ideas/projects or develop them with AI support.
2.3 "Investors" (incl. entrepreneurs/interested parties) are users who search for, review, request contact, or acquire communication access to ideas.
2.4 "Content" includes data, texts, uploads, images, pitch materials, chat messages, metadata, project parameters, and other user contributions.
2.5 "AI Functions" are automated tools for structuring/elaboration (e.g., business plan draft, canvas, pitch text, market hypotheses).
2.6 "Contact Purchase"/"Contact Release" is the paid acquisition of a contact/communication option under the rules of these GTC (no automatic contract between investor and idea creator).
2.7 "Proof-of-Idea" is a documented, timestamped assignment of content/status to a user account (purely a documentation function).
2.8 "Price Overview" is the current list of fees, services, and conditions published on the platform.
2.9 "Pre-registration" refers to entering an idea before full registration, e.g., by providing an email address.
3. Role of the Platform - No Investment Brokerage, No Consulting
3.1 Idea2Creat provides exclusively a technical platform. The platform does not bring ideas and people together as a "broker" but makes content/structures/matches visible.
3.2 Idea2Creat is specifically not a financial intermediary, not an investment broker, not legal/tax/business consulting, and does not guarantee success.
3.3 Contracts, financing, participations, purchase/license agreements, or NDAs are created exclusively outside the platform and at the parties' own responsibility.
3.4 Idea2Creat assumes no warranty for the identity, creditworthiness, seriousness, or contractual fidelity of other users.
3.5 Idea2Creat does not guarantee that ideas will not be taken up, further developed, or implemented by third parties. The responsibility for protecting intellectual property lies with the idea creator.
4. Registration, Pre-Registration, Verification, Minimum Age, Account Security
4.1 A user account is required for core functions (listing, contact purchase, chat, subscription).
4.2 Pre-registration by email: Ideas can be recorded and saved before completing full registration if the user provides at least a valid email address. The idea is assigned to the user and published only after registration and verification are completed. If registration is not completed within [e.g., 30 days], the pre-registered idea may be deleted.
4.3 Minimum age is 18 years; minors may not use the platform.
4.4 Verification/KYC-light: To reduce fake profiles, the provider may require verification (e.g., email confirmation, SMS verification, payment method verification, additional KYC steps if needed).
4.5 Automated security checks and risk analyses may be performed for fraud prevention (e.g., device fingerprinting, IP-based checks, anomaly detection).
4.6 Users must keep their credentials confidential. In case of suspected misuse, Idea2Creat must be informed immediately.
4.7 Only one user account per natural person or organization is permitted. Multiple accounts may be blocked without warning.
4.8 Registration data must be truthful and kept up to date. Changes (e.g., email, company name) must be updated immediately in the profile.
5. Listing Ideas: Free, Paid, Visibility, Duration
5.1 Idea creators can list ideas without AI (simple listing) or with AI support.
5.2 The platform may provide a free quota (e.g., 1 active listing free) and offer additional listings for a fee. Prices/scope of services are shown in the Price Overview.
5.3 Users agree that certain content (e.g., title, category, brief description) may be publicly visible on the platform. Before publication, the idea creator confirms which details are visible. Detailed content may remain hidden.
5.4 The visibility of ideas may be influenced by algorithmic factors, e.g., activity, completeness, ratings, paid boosts.
5.5 Confidential content should not be published without appropriate protective measures. Idea2Creat assumes no liability for the disclosure of content that the user has released for publication.
5.6 Listings may be time-limited (e.g., 90 days) and can then be renewed/archived.
6. Sharing Ideas by the User
6.1 Idea creators can actively share their ideas with third parties, e.g., via share link, PDF export, or forwarding, if the platform provides such functions.
6.2 When sharing an idea, the content released by the idea creator (e.g., title, brief description, category) becomes visible to the recipient. Confidential details are only shared if the idea creator explicitly activates this.
6.3 The idea creator is solely responsible for deciding which content to share with which recipients. Idea2Creat assumes no liability for the use of shared content by third parties.
6.4 Shared links may be time-limited or revocable, depending on platform configuration.
7. AI Functions: Nature of Results, Responsibility, Transparency
7.1 AI functions provide automated suggestions/structuring and do not replace professional review.
7.2 Idea creators/investors remain responsible for content, decisions, legal review, market review, and negotiations. In particular: no warranty for accuracy/completeness/timeliness.
7.3 Idea2Creat may label AI outputs as "AI-generated".
7.4 AI-generated content may be incorrect, incomplete, or outdated. It does not constitute professional, legal, or business advice.
7.5 Users may not enter particularly sensitive data (e.g., health data, criminal data) in free-text fields unless explicitly requested and secured.
7.6 User AI inputs are generally not used for training public AI models unless explicitly stated otherwise and separate consent has been obtained.
8. Proof-of-Idea: Timestamp, Scope, Limitations
8.1 The "Proof-of-Idea" is a documented, timestamped elaboration/version of an idea assigned to a user account.
8.2 The Proof-of-Idea does not replace patent protection, does not establish protective rights, and serves exclusively for documentation.
8.3 The Proof-of-Idea is not an "official certificate" and not an eIDAS-qualified timestamp, unless explicitly offered as such.
8.4 Idea2Creat may use audit mechanisms for the Proof-of-Idea (e.g., timestamp + hash value + immutable log chain), without promising any legal protective effect.
9. Visibility, Ranking, Boosts, Matching/Recommendation Systems
9.1 Search/ranking functions may consider both content parameters (category, maturity, activity, completeness, verification) and commercial parameters (e.g., paid boosts).
9.2 Paid visibility ("boosts", "premium placement") is labeled as such.
9.3 If Idea2Create uses recommendation systems/auto-matching, the key parameters (e.g., tags, industry, capital needs, activity, boost status) are described in plain language and users are given - where offered - the ability to influence these parameters.
10. Contact Purchase, Chat, Contact Release, Data Sharing, Anti-Circumvention
10.1 Initial contact is made exclusively via the internal platform chat; personal contact details are not shared without consent.
10.2 Investors can purchase a contact request/communication release for a fee ("contact purchase").
10.3 Release logic:
- a) Contact purchase triggers a contact request.
- b) The idea creator is obligated to respond to activated contact requests within 5 days (acceptance or rejection).
- c) Upon acceptance, the chat is activated.
- d) Upon rejection or non-response within the 5-day period, the amount is returned as credit or refunded (depending on payment costs; transparent in Price Overview).
10.4 Response obligation of the idea creator:
- a) By listing an idea, the idea creator confirms that they will respond to activated contact requests within 5 days.
- b) On the first non-response (no timely reply within 5 days), the idea creator receives a first warning via email/in-app message.
- c) On the second non-response, the idea creator receives a second warning with the explicit notice that further non-response will result in the listing being deactivated.
- d) On the third non-response, the affected listing is deactivated.
- e) On the fourth non-response, Idea2Creat may delete the idea creator's account.
- f) Deactivated listings can be reactivated upon request and after a statement from the idea creator, provided the account is still active.
10.5 Data sharing upon contact release: After explicit consent of the idea creator, the following data is forwarded to the buyer (investor):
- a) Name or organization of the idea creator;
- b) Email address of the idea creator;
- c) the released idea details (e.g., title, description, category, project status, relevant documents - depending on visibility settings);
- d) if applicable, additional contact data released by the idea creator (e.g., phone number, website).
10.6 The idea creator can review which data will be transmitted to the investor before release and exclude individual fields. Consent is given actively (opt-in) and is logged.
10.7 Conversely, after release, the idea creator receives the following data of the investor: name or organization, email address, and if applicable, additional information released by the investor (e.g., industry, investment focus).
10.8 Circumvention of monetization (e.g., contact details in teaser/chat before release) is prohibited; Idea2Creat may moderate/remove content and block accounts.
11. Investor/Entrepreneur Obligations, Confidentiality, No-Scraping
11.1 Investors/entrepreneurs commit to using received information exclusively for individual contact and evaluation.
11.2 In particular prohibited: mass outreach, mass messages, data scraping, data collection, resale/redistribution, and any commercial use of received data outside the platform.
11.3 Confidentiality:
11.4 Violations may result in suspension, exclusion, and legal action.
12. Content, Rights, Licenses, IP Protection
12.1 Idea creators retain all rights to their ideas/content.
12.2 By uploading/entering, the user grants Idea2Creat a simple, non-exclusive, worldwide, revocable license to host, display, technically process (incl. AI structuring), and make content accessible within the platform - only as required for platform operation/matching/moderation.
12.3 No review for originality/protectability/infringement; the user warrants being authorized and not infringing third-party rights.
12.4 Investors receive a limited usage right to use content only for evaluation/initiation; any commercial use, implementation, or redistribution without a contract with the rights holder is prohibited.
12.5 Takedown: Idea2Creat may deactivate content upon suspicion of rights infringement/spam/abuse.
12.6 All rights to the platform itself (software, design, trademarks, logos, texts, databases) remain with Idea2Creat or its licensors.
13. Prohibited Content and Uses
13.1 Users may not use the platform for unlawful, fraudulent, offensive, discriminatory, or otherwise GTC-violating purposes.
13.2 In particular prohibited:
- a) Content that infringes third-party rights (IP, personal rights, data protection);
- b) misleading, fraudulent, or falsified information;
- c) spam, unsolicited advertising, chain letter mechanisms;
- d) malware, phishing, social engineering;
- e) automated reading, crawling, or scraping of the platform;
- f) attempts to circumvent security mechanisms or impair platform infrastructure;
- g) using the platform for money laundering, terrorism financing, or sanctioned activities.
13.3 Automated use of the platform (e.g., bots, scrapers, automated queries) is prohibited without express written permission from Idea2Creat.
13.4 Idea2Creat reserves the right to remove content without prior notice and to block accounts.
14. Prices, Subscriptions, Credits, Payment Processing
14.1 Prices/services are transparently displayed on the platform (verification fee, listing/idea, AI usage, boosts, contact purchase, subscriptions).
14.2 All prices are - unless stated otherwise - in [CHF/EUR] and include/exclude statutory VAT where applicable.
14.3 Services are to be paid in advance.
14.4 Subscriptions renew automatically if not canceled in time (e.g., month-end/period-end). Exact deadlines are in the Price Overview/Checkout.
14.5 Payment processing is handled by external payment service providers; the provider generally does not store complete card information in its own system.
14.6 Fees for chargebacks or abusive use may - to the extent legally permissible and transparent - be charged to the user.
14.7 Credits are not redeemable for cash, not transferable, and have a validity period according to the Price Overview, unless otherwise stated.
14.8 Idea2Creat reserves the right to change prices. Price changes for existing subscriptions take effect only from the next renewal period; users are informed in advance and may cancel.
15. Withdrawal, Refunds, "Digital Content" (CH/EU Fallback)
15.1 Switzerland: There is no general statutory right of withdrawal for online purchases; refunds are made according to this policy or as a goodwill gesture.
15.2 EU/EEA (fallback, mandatory law): Consumers generally have a 14-day right of withdrawal for distance contracts; for digital content, the right of withdrawal may be waived if performance has begun with prior express consent and acknowledgment of loss.
15.3 Specific to Idea2Create services:
- a) Verification fee: considered an immediately rendered service (account activation/anti-fraud).
- b) Contact purchase: refund/credit only if contact is not established (rejection/non-response) or technical impossibility; no refund after successful release in principle.
- c) Boosts: no pro-rata refund after the boost period has started, except for undelivered service (e.g., system error).
- d) AI elaboration: no refund after delivery of the output, except for demonstrable technical malfunction.
15.4 Abuse/Fraud: Refund may be denied in case of abuse.
16. Liability, Warranty, Availability
16.1 Idea2Creat is not liable for user content, the accuracy of AI outputs, or for decisions/negotiations between users.
16.2 Idea2Creat is liable within the legally permissible scope only for intent and gross negligence; for slight negligence only for breach of essential contractual obligations and limited to typical, foreseeable damage.
16.3 Idea2Creat's liability is - to the extent legally permissible - limited in amount to the amount paid by the user in the last 12 months.
16.4 Idea2Creat may perform maintenance, change functions, or temporarily deactivate them. There is no entitlement to permanent availability.
16.5 Idea2Creat is not liable for damages caused by force majeure, failure of third-party providers, telecommunications disruptions, or other circumstances beyond Idea2Creat's control.
17. Force Majeure
17.1 Idea2Creat is released from its obligation to perform insofar and as long as performance is prevented or significantly impeded by circumstances beyond reasonable control (e.g., natural events, pandemics, war, terrorism, cyberattacks, power outages, failure of third-party services, government orders, strikes).
17.2 Idea2Creat will inform users about such events - where possible - and make reasonable efforts to minimize the impact.
18. Indemnification
18.1 Users indemnify Idea2Creat from third-party claims arising from rights violations through user content (IP, personal rights, data protection, criminal law), including reasonable legal defense costs, to the extent legally permissible.
18.2 Idea2Creat informs the user about such claims and provides the opportunity for comment/defense.
19. Moderation, Suspension, Termination, Data Export
19.1 Idea2Creat may remove content/block accounts for: spam, fake profiles, fraud, IP claims, circumvention of payment mechanics, harassment, scraping, security risks.
19.2 Before a permanent suspension, the user receives - except in cases of serious violation or legal obligation - a warning and opportunity to respond.
19.3 Users whose content is removed or whose accounts are restricted receive a reason and may appeal.
19.4 Users may terminate at any time; paid services run until end of period/service.
19.5 Users may export their content where technically possible and legally permissible; statutory retention obligations are reserved.
19.6 Idea2Creat may terminate the contract for good cause without notice.
20. Inactive Accounts
20.1 Accounts not used for a period of [e.g., 12 months] (no login, no activity) are considered inactive.
20.2 Idea2Creat may archive or delete inactive accounts after prior notification by email (at least [30 days] notice).
20.3 Before deletion, the user is given the opportunity to export content.
21. Reporting System, Abuse, Complaints
21.1 Idea2Creat provides a reporting mechanism for unlawful content/abuse.
21.2 Complaints are processed according to a documented procedure; algorithmic and human moderation may be used.
22. Feedback and Improvement Suggestions
22.1 Feedback, suggestions, and ideas for improving the platform submitted by users to Idea2Creat (e.g., via support, feedback form) may be used by Idea2Creat without compensation, attribution, or restriction.
22.2 This does not apply to ideas/content that users post through platform functions (e.g., listings) - Section 12 applies to those.
23. Electronic Communication
23.1 Users agree that Idea2Creat may send communications via email, in-app message, and/or push notification (transactional and service-relevant messages). This includes in particular: confirmations, invoices, security warnings, GTC changes, contact requests.
23.2 Promotional communication (e.g., newsletter) is only sent with separate consent or within the scope of permissible existing customer advertising and can be unsubscribed at any time.
24. Beta Features and Test Phases
24.1 Certain features may be provided as "Beta", "Test", or "Preview". These may contain errors, function with limitations, or be changed or discontinued at any time.
24.2 No warranty is provided for beta features.
24.3 Feedback on beta features is subject to Section 22.
25. Platform Changes and Development
25.1 Idea2Creat may add, modify, or remove features when necessary for security, development, or legal requirements.
25.2 Significant changes affecting existing paid services will be communicated to users in advance; a special right of termination is granted if the change significantly disadvantages the user.
26. Assignment and Transfer Prohibition
26.1 Users may not assign or transfer rights and obligations from this contract to third parties without prior written consent from Idea2Creat. This includes in particular the user account.
26.2 In the event of a company transfer (e.g., sale, merger, reorganization), contracts and user data may be transferred to the successor. Users will be informed.
27. Partner Programs and Referral Programs
27.1 Idea2Creat may offer partner programs or referral programs.
27.2 Conditions, compensation, and restrictions of such programs are regulated in separate program terms that apply in addition to these GTC.
27.3 Abuse of partner/referral programs (e.g., self-referrals, fake referrals) may result in exclusion and reclaim of granted benefits.
28. Export Control and Sanctions
28.1 Users warrant that they are not on a sanctions list and do not use the platform in a country subject to comprehensive sanctions.
28.2 Idea2Creat may deny access or block accounts if there are indications of sanctions violations.
29. Anonymized and Aggregated Data Use
29.1 Idea2Creat may use anonymized or aggregated data (that does not allow conclusions about individual users) for internal analyses, statistics, research, and platform development.
29.2 Such data may also be published in summarized form (e.g., market trends, platform statistics) without allowing conclusions about individual users.
30. Alternative Dispute Resolution (EU)
30.1 The EU Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr.
30.2 Idea2Creat is neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration board, but strives to resolve disputes amicably.
31. Changes to the GTC
31.1 Idea2Creat may change the GTC, in particular for legal changes, security requirements, and product changes.
31.2 Significant changes will be communicated to users at least [30 days] before taking effect; right of objection/termination is granted.
31.3 Continued use of the platform after the changes take effect is deemed consent, unless the user objects or terminates.
32. Applicable Law, Jurisdiction, Mandatory Consumer Rights
32.1 Swiss law shall generally apply.
32.2 The place of jurisdiction for disputes with companies/business users is - where permissible - [registered office of Idea2Creat GmbH, Switzerland].
32.3 For consumers in Lugano states, mandatory consumer jurisdictions may apply.
32.4 Mandatory consumer protection rights (in particular EU directives/implementing laws) remain unaffected.
33. Final Provisions
33.1 Should individual clauses be invalid, the contract remains valid in all other respects; invalid clauses are replaced by valid ones that come closest to the purpose (severability clause).
33.2 These GTC together with the Price Overview and the Privacy Policy constitute the entire agreement between the user and Idea2Creat. No verbal side agreements exist.
33.3 Idea2Creat's failure to exercise a right under these GTC shall not be deemed a waiver of that right.
