General Terms and Conditions

1.1 The provider of the platform is Idea2Creat GmbH, Karrenwaldstrasse 8, Switzerland, Email: Info@idea2create.ch

1.2 These Terms govern the use of the "Idea2Create" platform and any related services (e.g., landing/entry tools, newsletter, API).

1.3 Deviating conditions of users shall only apply if the provider has expressly agreed to them in writing.

1.4 The contractual language is German. If translations are provided, the German version shall prevail unless mandatory law requires otherwise.

2.1 "Users" are all registered persons/organizations using the platform.

2.2 "Idea Creators" are users who post ideas/projects or develop them with AI support.

2.3 "Investors" (including entrepreneurs/interested parties) are users who search for, review, request contact, or acquire communication access to ideas.

2.4 "Content" includes data, texts, uploads, images, pitch materials, chat messages, metadata, project parameters, and other user contributions.

2.5 "AI Features" are automated tools for structuring/development (e.g., business plan drafts, canvas, pitch text, market hypotheses).

2.6 "Contact Purchase"/"Contact Release" is the paid acquisition of a contact/communication option under the rules of these Terms (no automatic contract between investor and idea creator).

2.7 "Proof-of-Idea" is a documented, timestamped assignment of content/status to a user account (documentation function only).

3.1 Idea2Creat provides exclusively a technical platform. The platform does not act as a "broker" connecting ideas and people, but rather makes content/structures/matches visible.

3.2 Idea2Creat is in particular not a financial intermediary, not an investment broker, not a legal/tax/business consultancy, and provides no guarantees of success.

3.3 Contracts, financing, participations, purchase/license agreements, or NDAs arise exclusively outside the platform and under the sole responsibility of the parties.

4.1 A user account is required for core functions (listing, contact purchase, chat, subscription).

4.2 The minimum age is 18 years; minors may not use the platform.

4.3 Verification/KYC-light: To reduce fake profiles, the provider may require verification (e.g., email confirmation, SMS verification, payment method verification, additional KYC steps if applicable).

4.4 Users must keep their login credentials confidential. In case of suspected misuse, Idea2Creat must be notified immediately.

5.1 Idea Creators can post ideas without AI (simple listing) or with AI support.

5.2 The platform may offer a free quota (e.g., 1 active listing free) and charge for additional listings. Prices and scope of services are shown in the pricing overview.

5.3 Visibility is tiered: Before publication, the Idea Creator confirms which information is visible (e.g., title, category, short description, objective). Detailed content may remain hidden.

5.4 Listings may be time-limited (e.g., 90 days) and can be renewed/archived afterward.

6.1 AI Features provide automated suggestions/structuring and do not replace professional review.

6.2 Idea Creators/Investors remain responsible for content, decisions, legal review, market review, and negotiations. In particular: no guarantee of accuracy/completeness/timeliness.

6.3 Idea2Creat may label AI outputs as "AI-generated."

6.4 Users may not enter particularly sensitive data (e.g., health data, criminal records) into free-text fields unless expressly requested and secured.

7.1 The "Proof-of-Idea" is a documented, timestamped version of an idea assigned to a user account.

7.2 The Proof-of-Idea does not replace patent protection, does not establish intellectual property rights, and serves exclusively as documentation.

7.3 The Proof-of-Idea is not an "official certificate" and not an eIDAS-qualified timestamp unless expressly offered as such.

7.4 Idea2Creat may employ audit mechanisms for the Proof-of-Idea (e.g., timestamp + hash value + immutable log chain) without guaranteeing any legal protective effect.

8.1 Search/ranking functions may consider both content-based parameters (category, maturity, activity, completeness, verification) and commercial parameters (e.g., paid boosts).

8.2 Paid visibility ("Boosts," "Premium Placement") is labeled as such.

8.3 If Idea2Create uses recommendation/auto-matching systems, the key parameters (e.g., tags, industry, capital requirements, activity, boost status) are described in plain language and users are given – where offered – the ability to influence these parameters.

9.1 Initial contact is made exclusively through the internal platform chat; personal contact details are not shared without consent.

9.2 Investors may purchase a contact request/communication release for a fee ("Contact Purchase").

9.3 Release logic:

• a) Contact Purchase triggers a contact request.
• b) The Idea Creator may accept or decline within 7 days.
• c) Upon acceptance, the chat is unlocked and – if provided – contact details are exchanged after explicit consent.
• d) Upon rejection or non-response, the amount is refunded as credit or reimbursed (depending on payment costs; transparent in pricing overview).

9.4 Circumvention of monetization (e.g., sharing contact details in teaser/chat before release) is prohibited; Idea2Creat may moderate/remove content and suspend accounts.

10.1 Investors/entrepreneurs commit to using received information exclusively for individual contact and review; mass outreach, data scraping, resale/sharing are prohibited.

10.2 Confidentiality:

• a) The platform may contain sensitive information. Without a separate NDA, use is restricted to "Evaluation/Contact"; disclosure to third parties is prohibited unless necessary for evaluation (e.g., internal partners) and only under comparable confidentiality.
• b) Idea2Creat optionally provides template NDAs (if offered) but is not a party to such NDAs.

10.3 Violations may result in suspension, exclusion, and legal action.

11.1 Idea Creators retain all rights to their ideas/content.

11.2 By uploading/posting, the user grants Idea2Creat a simple, non-exclusive, worldwide, revocable license to host, display, technically process (including AI structuring), and make content accessible within the platform – only as required for platform operation/matching/moderation.

11.3 No review for originality/protectability/infringement; the user warrants being authorized and not infringing third-party rights.

11.4 Investors receive a limited right to use content solely for evaluation/initiation; any commercial use, implementation, or disclosure without a contract with the rights holder is prohibited.

11.5 Takedown: Idea2Creat may deactivate content if there is suspicion of infringement/spam/abuse.

12.1 Prices/services are transparently displayed on the platform (verification fee, listing/idea, AI usage, boosts, contact purchase, subscriptions).

12.2 Services must be paid for in advance.

12.3 Subscriptions renew automatically if not canceled in time (e.g., end of month/period). Exact deadlines are shown in the pricing overview/checkout.

12.4 Payment processing is handled by external payment service providers; the provider generally does not store complete card information in its own system.

12.5 Fees for chargebacks or abusive use may – to the extent legally permissible and transparent – be charged to the user.

13.1 Switzerland: There is no general statutory right of withdrawal for online purchases; refunds are made according to this policy or as a goodwill gesture.

13.2 EU/EEA (fallback, mandatory law): Consumers generally have a 14-day right of withdrawal for distance contracts; for digital content, the right of withdrawal may expire if performance has begun with prior express consent and acknowledgment of the loss.

13.3 Specific to Idea2Create services:

• a) Verification fee: considered an immediately rendered service (account activation/anti-fraud). EU checkout must include the "immediate execution" option + acknowledgment.
• b) Contact Purchase: Refund/credit only if contact is not established (rejection/non-response within the period) or technical impossibility; upon successful activation, generally no refund.
• c) Boosts: No pro-rata refund after the start of the boost period, except for undelivered service (e.g., system error).
• d) AI development: No refund after delivery of the output, except for demonstrable technical malfunction.

13.4 Abuse/Fraud: In case of abuse, refunds may be denied.

14.1 Idea2Creat is not liable for user content, the accuracy of AI outputs, or decisions/negotiations between users.

14.2 Idea2Creat is liable within the legally permissible scope only for intent and gross negligence; for slight negligence, only for breach of essential contractual obligations and limited to the typical, foreseeable damage.

14.3 No guarantee of uninterrupted availability; maintenance/further development may change features.

15.1 Users indemnify Idea2Creat against third-party claims arising from legal violations through user content (IP, personality rights, data protection, criminal law), including reasonable legal defense costs, to the extent legally permissible.

15.2 Idea2Creat informs the user about such claims and provides an opportunity to respond/defend.

16.1 Idea2Creat may remove content/suspend accounts for: spam, fake profiles, fraud, IP claims, circumvention of payment mechanisms, harassment, scraping, security risks.

16.2 Users may terminate; paid services continue until the end of the period/service.

16.3 Export/Archive: Users may – to the extent technically and legally possible – export their content; statutory retention obligations are reserved (e.g., billing data).

17.1 Idea2Creat provides a reporting channel for unlawful content/abuse.

17.2 Complaints are processed according to a documented procedure; algorithmic and human moderation may be used.

18.1 Idea2Creat may amend the Terms, particularly in case of legal changes, security requirements, or product changes.

18.2 Material changes will be notified to users before they take effect; objection/termination rights are granted where required.

19.1 Swiss law shall apply in principle.

19.2 The place of jurisdiction for disputes with businesses/business users is – to the extent permissible – the registered office of Idea2Creat GmbH, Switzerland.

19.3 For consumers in Lugano Convention states, mandatory consumer jurisdictions may apply (e.g., action at the consumer's domicile; business action only at the consumer's domicile; deviations only limited).

19.4 Mandatory consumer protection rights (in particular EU directives/implementing laws) remain unaffected.

20.1 Should individual clauses be invalid, the remainder of the contract shall remain in effect; invalid clauses shall be replaced by valid provisions that most closely achieve the intended purpose.
